1.2. Modification of Terms
CoinExtra reserves the right to change, add or remove portions of these Terms, at any time, in an exercise of its sole discretion. You will be notified of any changes in advance through Your Account. Upon such notification, it is Your responsibility to review the amended Terms. Your continued use of the Website following the posting of a notice of changes to the Terms signifies that You accept and agree to the changes, and that all subsequent transactions by You will be subject to the amended Terms.
1.3. CoinExtra Services
The Services operated by CoinExtra also allows all registered Members of the Services to:
a. Transfer Cryptocurrencies to other Member or other Members of Cryptocurrency outside the Website.
b. Use Cryptocurrencies for purchasing goods.

a. “Account” means an account registered by You on the CoinExtra Platform;
b. “Buyer” means You or any Member who submits an Order to buy Cryptocurrencies through the Platform.
c. “CoinExtra" refers to the company [EU] Limited with registered address at [Riia 128, 50411 Tartu, Estonia], including, without limitation, its owners, directors, investors, employees or other related parties.
d. “Cryptocurrencies” means peer-to-peer decentralized digital representation of value (e.g. bitcoin, litecoin, ethereum, etc.).
e. “Deposit” means a Transaction involving a transfer of Funds to the Account.
f. “Fiat Currency” means government-issued currency, that is designated as legal tender in its country of issuance through government decree, regulation, or law.
g. “Funds” means Cryptocurrencies and/or Fiat Currency.
i. “Order” means a Member’s instruction to buy or sell Cryptocurrencies on certain conditions.
j. “Personal Information” means Information that identifies an individual, such as name, address, e-mail address, trading information, and banking details. “Personal Information” does not include anonymised and/or aggregated data that does not identify a specific Member.
k. “Platform” means an environment created by CoinExtra that allows to trade Cryptocurrencies.
l. “Price” means the "price per coin" for which You or any Member are willing to purchase or sell Cryptocurrencies, using the Services in a Cryptocurrency Purchase Transaction. The Price may be expressed in any of the currencies deposited by Members in their Account and supported by the Services.
m. “Seller” means You or any Member who submits an Order to sell Cryptocurrencies through the Platform.
n. “Services” means the Services, products, Website, contents or other materials collectively provided by CoinExtra.
o. “Service Fee” means a fee which is payable to CoinExtra for each completed Transaction.
p. “Transaction” means:
(i) the agreement between the Buyer and the Seller to exchange Cryptocurrencies through the Services for Fiat Currency at a commonly agreed rate ("Cryptocurrencies Purchase Transaction");
(ii) the conversion of Fiat Currency into Cryptocurrencies deposited by You on their Account at a commonly agreed rate ("Conversion Transaction");
(iii) the transfer of Cryptocurrencies between You and other Members or another person not being a Member of CoinExtra ("Cryptocurrencies Transfer Transaction"); and
(iv) the purchase of ancillary products ("Purchase Transactions").
CoinExtra may, at its own discretion, not offer all of these types of Transactions at this time or in all places.
q. “Transaction Price” means the total price paid by the Buyer in respect to each Transaction performed via the Services.
r. “Website” means website at the address https://trade.coinextra.net/.
s. “Withdrawal” means a Transaction involving a transfer of Funds from Your Account to Your bank account or to an account opened in any other financial institution.
2. REPRESENTATIONS AND WARRANTIES
2.1. By registering an Account, You expressly represents and warrants that You:
a. will follow the rules and laws in Your country of residence and/or country from which You access this Website and Services;
d. will only use the Platform to perform Transactions in accordance with the conditions set forth in these Terms and that You are duly authorised and have the capacity to enter into the Transactions on the Platform;
e. You represent and warrant that both Fiat Currency and Cryptocurrencies deposited to the Account are under Your lawful ownership and derived from legal sources;
f. will withdraw any Cryptocurrencies from Your Account only to Your wallets; or otherwise CoinExtra does not hold any liability for consequences of such withdrawal;
g. all Transactions being carried out will not violate rights of any third party or applicable laws.
3.1. The Website is for Your personal and non-commercial use only.
3.2. By registering with us, You agree to comply with all procedures and provide CoinExtra with current, accurate, and complete information about Yourself as prompted during the registration process, and to keep such information updated. CoinExtra shall bear no responsibility in any way in case of any damage, loss or claim occurred to You or any third party due to the inaccuracy, incompleteness or outdatedness of the information.
3.3. You further agree and commit that You will not use any Account other than Your own, or access the Account of any other Member at any time, or assist others in obtaining unauthorised access.
3.4. You hereby authorize CoinExtra to, directly or through third parties make any inquiries we consider necessary to verify Your identity and/or protect against fraud, including to query identity information contained in public reports (e.g., Your name, address, past addresses, or date of birth), to query account information associated with Your linked bank account (e.g., name or account balance), and to take action we reasonably deem necessary based on results of such inquiries and reports. You further authorize any and all third parties to which such inquiries or requests may be directed to fully respond to such inquiries or requests.
3.5. The creation or use of Accounts without obtaining the prior express permission from CoinExtra will result in the immediate suspension of all said Accounts, as well as all pending purchase/sale offers. Any attempt to do so or to assist others (Member or otherwise), or the distribution of instructions, software or tools for that purpose, will result in the Accounts of such Member being terminated. Termination is not the exclusive remedy for such a violation, and CoinExtra may elect to take further action against You.
3.6. Account security:
a. You are responsible for maintaining adequate security and control of any and all IDs, passwords, hints, personal identification numbers (PINs), API keys or any other codes that You use to access the CoinExtra Services. Any loss or compromise of the foregoing information and/or Your personal information may result in unauthorized access to Your CoinExtra Account by third-parties and the loss or theft of any amount of the Cryptocurrencies and/or funds held in Your CoinExtra Account and any associated accounts, including Your linked bank account(s) and credit card(s). You are responsible for keeping Your email address and telephone number up to date in Your Account Profile in order to receive any notices or alerts that we may send You. We assume no responsibility for any loss that You may sustain for compromise of account login credentials due to no fault of CoinExtra and/or failure to follow or act on any notices or alerts that we may send to You.
b. CoinExtra will never ask You to disclose password of Your Account on CoinExtra. Any message You receive or Website You visit that asks for the password, other than the Website, should be reported to CoinExtra. If You are in doubt whether a Website is genuine, it is required to ensure the Website is EV SSL compliant (Security Certificate Validation is shown in the address bar of a web browser).
c. It is advisable to change Your password regularly (at least every three (3) to six (6) months) in order to reduce the risk of a security breach in relation to the Account. You are also advised not to choose a password that is easily guessed from information someone might know or gather about You or a password that has a meaning. You must never allow anyone to access Your Account or watch You accessing Your Account.
d. If You have any security concerns about Your Account, login details, password or other security feature being lost, stolen, misappropriated, used without authorization or otherwise compromised, You are advised to change the password. You must contact Support Service without undue delay on becoming aware of any loss, theft, misappropriation or unauthorized use of the Account, login details, password or other security features. Any undue delay in notifying CoinExtra may not only affect security of Account, but may result in You being liable for any losses as a result. If You suspect that someone else accessed Your Account, You should also contact an appropriate government agency and report the incident.
e. You must take reasonable care to ensure that Your e-mail account(s) are secure and only accessed to by You, as Your e-mail address may be used to reset passwords or to communicate with You about security of Account. CoinExtra will not be liable for any breach of an e-mail account resulting an unauthorized Transaction to be executed with proper confirmation. In case any of e-mail addresses registered with Your Accounts are compromised, You should be without undue delay after becoming aware of this contact Support Service and also contact Your e-mail services provider.
f. Irrespective of whether You are using a public, a shared or Your own computer to access the Account, You must always ensure that Your login details are not stored by the browser or cached or otherwise recorded. You should never use any functionality that allows login details or passwords to be stored by the computer You are using.
g. Additional products or Services You uses may have additional security requirements and You must familiarize with those as notified to You.
h. Two-factor authentication must be enabled in order to make any Withdrawal Transactions.
i. You are required to notify CoinExtra immediately of any threat or activity that may endanger or infringe to the Account security or any other breach of security by email addressed to CoinExtra.
j. In case of any suspicious activity related to Your Account, we may, but are not obligated to, request additional information from You, including authenticating documents, and freeze any transactions pending our review. You are obligated to comply with these security requests, or accept termination of Your Account.
3.7. Email messages sent over the Internet are not secure and CoinExtra is not responsible for any damages incurred by the result of sending email messages over the Internet. We suggest sending email in encrypted formats; You are welcome to send PGP encrypted emails to us. The instructions and keys to do so are available upon request.
3.8 Lock account: Due to the large number of accounts registered on the CoinExtra Exchange, CoinExtra will close all accounts registered on the Exchange but does not trade within 90 days since the date of registration. Tobe able to trade, customers have the right to complain to reopen accounts within 30 days since the day of closing account. After 30 days, if CoinExtra does not receive any complaints, CoinExtra will lock the account permanently.
4.1. Where the Website or Platform prompts You to click on a certain button on the Website or Platform, and You agree at Your own discretion to do as prompted, to:
a. confirm a purchase or go back to previous page, You will be deemed to agree or disagree to engage in a Transaction by entering into and signing a Cryptocurrencies purchase agreement with the Seller or Buyer, as the case may be, and commit to fully and duly comply with terms and conditions of that agreement and the law; or
b. cancel a purchase that is formerly confirmed by You, You will be deemed to agree to unilaterally terminate the signed Cryptocurrencies purchase agreement, and undertake to compensate for any damage as required by the agreement and the law.
4.2. You will be deemed to agree to voluntarily perform such activities, without any further claim, where the Website or Platform requires You to click on a certain button on the Website or Platform, and You agree at Your own discretion to do as prompted, to:
a. register, log in Your Account;
b. choose an option, go back to the previous page, save information, set up two-factors authentication, download guidelines, add a bank account, verify Account;
c. choose to make a Transaction to purchase or sell Cryptocurrencies;
d. deposit or withdraw Cryptocurrencies or Fiat Currency;
e. perform other activities, as the case may be.
4.3. The Service Fee shall be calculated per each Transaction in accordance with Fee Schedule provided, amended, supplemented by CoinExtra from time to time, and CoinExtra shall inform You each time a change to Fee Schedule is made. With regard to each Transaction You proceed via the Website, You agree to deduct an amount of the Cryptocurrencies from Your Account to pay Service Fee as provided by CoinExtra.
5. PERSONAL INFORMATION
5.1. We store and process Your Personal Information in data centres around the world, wherever CoinExtra facilities or Services providers are located. As such, we may transfer Your Personal Information outside of the European Economic Area (“EEA”). Such transfers are undertaken in accordance with our legal and regulatory obligations.
5.2. We may share Your Personal Information with law enforcement, data protection authorities, government officials, and other authorities when:
a. Required by law;
b. Compelled by subpoena, court order, or other legal procedure;
c. We believe that the disclosure is necessary to prevent physical harm or financial loss;
d. Disclosure is necessary to report suspected illegal activity; or
5.3. With respect to US residents, we also may share Your information with other financial institutions as authorized under Section 314(b) of the US Patriot Act, and with tax authorities, including the US Internal Revenue Services, pursuant to the Foreign Account Tax Compliance Act ("FATCA"), to the extent that this statute may be determined to apply to CoinExtra.
5.4. We may provide access to certain parties to access specific data and information through our API (Application Programming Interface) or through widgets. We also may provide widgets for Your use to put our data on Your Website. You are free to use these in their original unmodified and un-altered state.
6.1. By registering an Account on CoinExtra and entering into this Term of Use, You agree and commit that You do realize all risks arising out of or regarding Cryptocurrencies Transaction, irrespective of the fact that such risks are foreseen, identified in this Term of Use as below or not, and will apply any solution to eliminate or prevent such risks from causing any negative effect on Your Account and that of other Members or CoinExtra:
a. The trading of goods and products, real or virtual, as well as virtual currencies involves significant risk. Prices can and do fluctuate on any given day. Due to such price fluctuations, You may increase or lose value in Your assets at any given moment. Any currency - virtual or not - may be subject to large swings in value and may even become worthless. There is an inherent risk that losses will occur as a result of buying, selling or trading anything on a market.
b. Cryptocurrency trading also has special risks not generally shared with official currencies or goods or commodities in a market. Unlike most currencies, which are backed by governments or other legal entities, or by commodities such as gold or silver, Cryptocurrency is an unique kind of "fiat" currency, backed by technology and trust. There is no central bank that can take corrective measure to protect the value of Cryptocurrencies in a crisis or issue more currency.
c. Instead, Cryptocurrency is an as-yet autonomous and largely unregulated worldwide system of currency firms and individuals. Traders put their trust in a digital, decentralised and partially anonymous system that relies on peer-to-peer networking and cryptography to maintain its integrity.
d. Cryptocurrency trading is probably susceptible to irrational (or rational) bubbles or loss of confidence, which could collapse demand relative to supply. For example, confidence might collapse in Cryptocurrency because of unexpected changes imposed by the software developers or others, a government crackdown, the creation of superior competing alternative currencies, or a deflationary or inflationary spiral. Confidence might also collapse because of technical problems: if the anonymity of the system is compromised, if money is lost or stolen, or if hackers or governments are able to prevent any transactions from settling.
6.2. You should carefully assess whether Your financial situation and tolerance for risk is suitable for buying, selling or trading Cryptocurrencies.
6.3. We use our banking providers in order to receive client moneys and making payments. Our banking providers DO NOT transfer Cryptocurrencies, exchange Cryptocurrencies, or provide any service in connection with Cryptocurrencies.
7. PROHIBITED ACTIVITIES
7.1. By opening an Account on CoinExtra, You confirm that You will not use Your Account to do any of the following activities:
a. Unlawful Activity: Activity which would violate, or assist in violation of, any law, statute, ordinance, or regulation, sanctions programs administered in the countries where CoinExtra conducts business, including but not limited to the U.S. Department of Treasury's Office of Foreign Assets Control ("OFAC"), or which would involve proceeds of any unlawful activity; publish, distribute or disseminate any unlawful material or information.
b. Abusive Activity: Activities which impose an unreasonable or disproportionately large load on our infrastructure, or detrimentally interfere with, intercept, or expropriate any system, data, or information; transmit or upload any material to the Website that contains viruses, trojan horses, worms, or any other harmful or deleterious programs; attempt to gain unauthorized access to the Website, other CoinExtra Accounts, computer systems or networks connected to the Website, through password mining or any other means; use CoinExtra Account information of another party to access or use the Website, except in the case of specific merchants and/or applications which are specifically authorized by You to access Your Account and information on CoinExtra; or transfer Your account access or rights to Your account to a third party, unless by operation of law or with the express permission of CoinExtra.
c. Abuse Other Members: Interfere with another individual's or entity's access to or use of any CoinExtra Services; defame, abuse, extort, harass, stalk, threaten or otherwise violate or infringe the legal rights (such as, but not limited to, rights of privacy, publicity and intellectual property) of others; incite, threaten, facilitate, promote, or encourage hate, racial intolerance, or violent acts against others; harvest or otherwise collect information from the Website about others, including without limitation email addresses, without proper consent.
d. Fraud: Activity which operates to defraud CoinExtra, Member, or any other person; provide any false, inaccurate, or misleading information to CoinExtra.
e. Gambling: Lotteries; bidding fee auctions; sports forecasting or odds making; fantasy sports leagues with cash prizes; internet gaming; contests; sweepstakes; games of chance.
f. Intellectual Property Infringement: Engage in transactions involving items that infringe or violate any copyright, trademark, right of publicity or privacy or any other proprietary right under the law, including but not limited to sales, distribution, or access to counterfeit music, movies, software, or other licensed materials without the appropriate authorization from rights holder; use of CoinExtra intellectual property, name, or logo, including use of CoinExtra trade or Services marks, without express consent from CoinExtra or in a manner that otherwise harms CoinExtra or the CoinExtra brand; any action that implies an untrue endorsement by or affiliation with CoinExtra.
7.2. By opening an Account on CoinExtra, You confirm that You will not use CoinExtra Services in connection with any of following businesses, activities, practices, or items:
a. Investment and Credit Services: Securities brokers; mortgage consulting or debt reduction services; credit counselling or repair; real estate opportunities; investment schemes.
b. Restricted Financial Services: Check cashing, bail bonds; collections agencies.
c. Intellectual Property or Proprietary Rights Infringement: Sales, distribution, or access to counterfeit music, movies, software, or other licensed materials without the appropriate authorization from the rights holder.
d. Counterfeit or Unauthorized Goods: Unauthorized sale or resale of brand name or designer products or services; sale of goods or services that are illegally imported or exported or which are stolen.
e. Regulated Products and Services: Marijuana dispensaries and related businesses; sale of tobacco, e-cigarettes, and e-liquid; online prescription or pharmaceutical services; age restricted goods or services; weapons and munitions; gunpowder and other explosives; fireworks and related goods; toxic, flammable, and radioactive materials.
f. Drugs and Drug Paraphernalia: Sale of narcotics, controlled substances, and any equipment designed for making or using drugs, such as bongs, vaporizers, and hookahs.
g. Pseudo-Pharmaceuticals: Pharmaceuticals and other products that make health claims that have not been approved or verified by the applicable local and/or national regulatory body.
h. Substances designed to mimic illegal drugs: Sale of a legal substance that provides the same effect as an illegal drug (e.g., salvia, kratom).
i. Adult Content and Services: Pornography and other obscene materials (including literature, imagery and other media); Websites offering any sexually-related services such as prostitution, escorts, pay-per view, adult live chat features.
j. Multi-level Marketing: Pyramid schemes, network marketing, and referral marketing programs.
k. Unfair, predatory or deceptive practices: Investment opportunities or other services that promise high rewards; Sale or resale of a services without added benefit to the buyer; resale of government offerings without authorization or added value; Websites that we determine in our sole discretion to be unfair, deceptive, or predatory towards consumers.
l. High risk businesses: any businesses that we believe poses elevated financial risk, legal liability, or violates card network or bank policies.
7.3. CoinExtra reserves the right to suspend or terminate Your Account on CoinExtra at any time if we reasonably believe to be required to do so by the law or in order to comply with recommendations issued by a relevant government authority or recognized body for the prevention of financial crime.
7.4. It is strictly forbidden to use Account for any illegal purposes. CoinExtra will report any suspicious activity to the relevant law enforcement.
8. LIMITATION OF LIABILITY
8.1. Services availability:
a. All Services are provided without warranty of any kind, either express or implied. We do not represent that the Website will be available 100% of the time to meet Your needs. We will strive to provide You with the Services as soon as possible but there are no guarantees that access will not be interrupted, or that there will be no delays, failures, errors, omissions or loss of transmitted information.
8.2. External Websites
a. CoinExtra makes no representations whatsoever about any outside or third-party Website which You may access through the Website. Occasionally, the Website may provide references or links to other Websites ("External Websites"). We do not control these External Websites third party Websites or any of the content contained therein. You agree that we are in no responsible or liable way for External Websites referenced or linked from the Website, including, but not limited to, Website content, policies, failures, promotions, products, opinions, advice, statements, prices, activities and advertisements, services or actions and/or any damages, losses, failures or problems caused by, related to, or arising from those Websites. You shall bear all risks associated with the use of such content.
8.4. We shall not bear any liability, whatsoever, for any damage or interruptions caused by any computer viruses, spyware, scareware, Trojan horses, worms or other malware that may affect Your computer or other equipment, or any phishing, spoofing or other attack. We advise the regular use of a reputable and readily available virus screening and prevention software. You should also be aware that SMS and email services are vulnerable to spoofing and phishing attacks and should use care in reviewing messages purporting to originate from CoinExtra. Always log into Your Account on CoinExtra through the Website to review any transactions or required actions if You have any uncertainty regarding the authenticity of any communication or notice.
8.5. CoinExtra makes no representations about accuracy or completeness of historical Digital Currency price data available on the Website. CoinExtra will make reasonable efforts to ensure that requests for electronic debits and credits involving bank accounts, credit cards, and check issuances are processed in a timely manner but CoinExtra makes no representations or warranties regarding the amount of time needed to complete processing which is dependent upon many factors outside of our control.
8.6. To the extent permitted by law, CoinExtra will not be held liability for any damages, loss of profit, loss of revenue, loss of business, loss of opportunity, loss of data, indirect or consequential loss unless the loss suffered arising from negligence or wilful deceit or fraud. Nothing in these terms excludes or limits the liability of either party for fraud, death or personal injury caused by its negligence, breach of terms implied by operation of law, or any other liability which may not by law be limited or excluded.
8.7. The Buyer shall liaise with the bank and transfer the Fiat Currency from his/her bank account to the bank account of the Seller for payment of the Transfer Fee after complying with required procedures. CoinExtra will not be liable for any risk, damage in practice or other loss that may occur to transfer and receiving of the Fiat Currency of the Parties mentioned above.
8.8 Subject to the foregoing, aggregate liability of CoinExtra in respect of claims based on events arising out of or in connection with any single Member's use of the Website and/or Services, whether in contract or tort (including negligence) or otherwise, shall in no circumstances exceed the greater of either (a) the total amount held on Account for the Member making a claim less any amount of Commission that may be due and payable in respect of such Account; or (b) 125% of the amount of the Transaction(s) that are the subject of the claim less any amount of Commission that may be due and payable in respect of such Transaction(s).
9. INTELLECTUAL PROPERTY
9.1. Unless otherwise specified, all materials on this Website are the property of CoinExtra and are protected by copyright, trademark and other applicable laws. You may view, print and/or download a copy of the Materials from this Website on any single computer solely for Your personal, informational, non-commercial use, provided that keep intact all copyright and other proprietary notices.
9.2. The trademarks, services marks and logos of CoinExtra and others used in the Website ("Trademarks") are the property of CoinExtra and their respective owners. The software, text, images, graphics, data, prices, trades, charts, graphs, video and audio used on this Website belong to CoinExtra. The Trademarks and materials should not be copied, reproduced, modified, republished, uploaded, posted, transmitted, scraped, collected or distributed in any form or by any means, whether manual or automated. The use of any such Materials on any other Website or networked computer environment for any other purpose is strictly prohibited; any such unauthorised use may violate copyright, trademark and other applicable laws and could result in criminal or civil penalties.
10. TERMINATION AND ESCROW OF UNVERIFIED ACCOUNTS
10.1. You may terminate this agreement with CoinExtra, and close Your Account at any time, following settlement of any pending transactions.
10.3. We expressly reserve the right to cancel and/or terminate Accounts that have not been verified by You despite our good faith efforts to contact You seeking such verification (“Unverified Accounts”). All Unverified Accounts which have been inactive for a period of 6 months or more are further subject to transfer to a third-party escrow ("Unverified Escrow”), and will no longer be maintained or be the legal responsibility of CoinExtra. The administrator/trustee of the Unverified Escrow shall make any and all additional reasonable efforts required by law to determine and contact each Unverified Account owner and, after suitable effort and time, will donate any amount of the residual Cryptocurrency or cash in these unclaimed Unverified Accounts to a non-profit group or groups involved in the Cryptocurrency ecosystem.
10.4. The suspension of an Account shall not affect the payment of Commissions due for past Transactions. Upon termination, You shall communicate a valid bank account to allow for the transfer of any currencies credited to Your account. Said bank account shall be held by You. Cryptocurrencies may be transferred to a valid bank account only after conversion into a currency. CoinExtra shall transfer the currencies as soon as possible following the Your request in the time frames specified by CoinExtra.
10.5. CoinExtra will send You the credit balance of Your Account, however in circumstances a number of intermediaries may be involved in an international payment and these or the beneficiary bank may deduct charges. We will use reasonable efforts to ensure that such charges are disclosed to You prior to sending Your payment, however where they cannot be avoided, You acknowledge that these charges cannot always be calculated in advance, and that You agree to be responsible for such charges.
10.6. Upon Account closing, any amount less than $5 in value will not be returned.
11.1. If You have a dispute with one or more users of the Services, You release CoinExtra, its affiliates and services providers, and each of its respective officers, directors, agents, joint venturers, employees and representatives from any and all claims, demands and damages (actual and consequential) of every kind and nature arising out of or in any way connected with such disputes.
11.2. You agree to indemnify and hold CoinExtra, its affiliates and services providers, and each of its or their respective officers, directors, agents, joint venturers, employees and representatives, harmless from any claim or demand (including attorneys' fees and any fines, fees or penalties imposed by any regulatory authority) arising out of or related to Your breach of this Terms or Your violation of any law, rule or regulation, or the rights of any third party.
12. GENERAL PROVISIONS.
12.2. Assignment. You may not assign any rights and/or licenses granted under this Agreement. We reserve the right to assign our rights without restriction, including without limitation to any CoinExtra affiliates or subsidiaries, or to any successor in interest of any business associated with the CoinExtra Services. Any attempted transfer or assignment in violation hereof shall be null and void. Subject to the foregoing, this Agreement will bind and inure to the benefit of the parties, their successors and permitted assigns.
12.3. Severability. If any provision of this Agreement shall be determined to be invalid or unenforceable under any rule, law or regulation or any governmental agency, local, state, or federal, such provision will be changed and interpreted to accomplish the objectives of the provision to the greatest extent possible under any applicable law and the validity or enforceability of any other provision of this Agreement shall not be affected.
12.4. Survival. All provisions of this Agreement which by their nature extend beyond the expiration or termination of this Agreement, including, without limitation, sections pertaining to suspension or termination, cancellation of an Account on CoinExtra, debts owed to CoinExtra, general use of the Website, disputes with CoinExtra, and general provisions, shall survive the termination or expiration of this Agreement.
12.5. Governing Law. This Agreement will be governed by English law and the non-exclusive jurisdiction of the English courts.
12.6. Force Majeure. We shall not be liable for delays, failure in performance or interruption of Services which result directly or indirectly from any cause or condition beyond our reasonable control, including but not limited to, any delay or failure due to any act of God, act of civil or military authorities, act of terrorists, civil disturbance, war, strike or other labor dispute, fire, interruption in telecommunications or Internet Services or network provider Services, failure of equipment and/or software, other catastrophe or any other occurrence which is beyond our reasonable control and shall not affect the validity and enforceability of any remaining provisions.
12.7. English Language Controls. Notwithstanding any other provision of this Agreement, any translation of this Agreement is provided for Your convenience. The meanings of terms, conditions and representations herein are subject to definitions and interpretations in the English language. Any translation provided may not accurately represent the information in the original English.
12.8. Taxes. It is Your sole responsibility to determine whether, and to what extent, any taxes apply to any transactions You conduct through the CoinExtra Services, and to withhold, collect, report and remit the correct amounts of taxes to the appropriate tax authorities. Your transaction history is available through Your Account on CoinExtra.
